Entity Formation in Mexico

We coordinate the formation of your Mexican entity end to end and make it operational: corporate form and incorporation with a notary, tax registration and invoicing credentials, employer registration with IMSS and INFONAVIT, payroll readiness, state and municipal registrations that apply to your activity, and the workforce plan that goes live the day the entity can employ. If you need people working before the entity exists, we employ them first and transfer them across.

  • One accountable Mexico partner from decision through execution
  • Nationwide across all 32 states, across industries and functions
  • Active REPSE registration for applicable specialized services
  • No obligation, no exclusivity, no lock-in

01The situation

Entity Formation in Mexico: what you get and how it works

Forming a company in Mexico is not the hard part. Making it able to hire, pay, invoice and pass an audit is. Most delays come from the registrations that follow incorporation, not the incorporation itself.

We sequence the two tracks in parallel: the corporate and tax setup with your notary, legal and accounting providers, and the workforce track that recruits, employs and onboards your first team so the entity opens with people in it.

You keep one accountable Mexico relationship across both. If the business case changes, we can start with an employment route instead and form the entity later without losing the people already hired.

Frequently asked questions

The questions buyers ask us before they commit. If yours is not here, send it and a Mexico specialist answers it directly.

Ask a Mexico Specialist
What does forming a company in Mexico involve?+

Choosing the corporate form, reserving the name, executing the incorporation deed before a notary, registering with the tax authority, obtaining the electronic signature and invoicing credentials, registering as an employer with IMSS and INFONAVIT, opening a bank account and completing the local registrations that apply to the activity and state.

Should we form an entity or employ through an EOR first?+

It depends on headcount, salaries, state, benefits, how much administration you want to run internally and whether you will invoice or contract locally. Many companies employ their first people through an employment route and form the entity once the volume and local commercial activity justify the fixed administration.

Can our employees transfer into the new entity later?+

Yes. When we employ your people first, the transition to your own entity is planned as part of the engagement: employment records, seniority, benefits, payroll registration and the handover sequence.

Do you also run the entity after it exists?+

We coordinate payroll, HR administration, employer registrations and workforce delivery for the new entity, and we work alongside your chosen notary, legal and accounting providers.

Numbers your finance team can defend

Every figure on this page is modeled from official Mexican sources, so procurement, finance and legal can trace it back to the law and the published data. Before anything reaches a budget, a quote or a board paper, a Mexico specialist rebuilds it on your roles, your states and your benefit package.
